PLEASE READ THESE TERMS OF SERVICE (“Terms”) CAREFULLY BEFORE ACCESSING OR USING WWW.NIVANOO.COM (the “Site”). BY VISITING, BROWSING OR PURCHASING THROUGH THE SITE YOU (“you” or “User”) AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT ACCEPT ANY PROVISION, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE SITE AND THE SERVICES.
  1. DEFINITIONS
    1.1 “nivanoo”, “we”, “us” or “our” means Nivanoo Limited, a Hong-Kong incorporated company.
    1.2 “Service” means the Site, any associated mobile or desktop applications, and all content, products, tools, APIs, checkout technology, logistics support and other services made available by nivanoo.
    1.3 “User Content” means any data, text, images, reviews, feedback or other material supplied by Users to the Site or to nivanoo.
  2. ACCEPTANCE & UPDATES
    2.1 These Terms constitute a binding offer. Your continued use of the Service constitutes acceptance.
    2.2 We may revise these Terms at any time by posting an updated version on the Site. Changes take effect immediately upon posting. It is your responsibility to review the Terms each time you access the Service.
  3. ELIGIBILITY
    3.1 The Service is available only to individuals who can form legally binding contracts under applicable law.
    3.2 By using the Service you represent that you are at least the age of majority in your jurisdiction and that any minor dependents who access the Site do so only with your consent and supervision.

  6. PERMITTED USE & PROHIBITED CONDUCT
    6.1 You may use the Service only for lawful, personal, non-commercial shopping purposes.
    6.2 You agree NOT to:
    a) upload or transmit viruses, malware or any destructive code;
    b) interfere with or circumvent the security or functionality of the Service;
    c) collect or harvest personally identifiable information of others;
    d) use false headers or impersonate any person;
    e) engage in conduct that is unlawful, harassing, hateful, defamatory, obscene or discriminatory;
    f) violate any applicable law or third-party right.
  7. PRODUCTS, PRICING & AVAILABILITY
    7.1 All products are offered “while stocks last”. We may change specifications, images or prices without notice.
    7.2 Despite our best efforts, a small number of items may contain pricing or descriptive errors. We reserve the right to correct or cancel any affected order.
  8. ORDERS, PAYMENT & ACCEPTANCE
    8.1 Placing an order constitutes an offer. We retain the right to refuse or limit any order, including quantities purchased per person, household or account.
    8.3 Risk of loss passes to you upon our delivery to the carrier. Title passes upon full payment.

    9.1 Shipping times and fees are set out in the Shipping Policy, incorporated herein by reference.
    9.2 Returns and exchanges are governed by our Return Policy, which forms part of these Terms.

    10.1 The Service may contain links to third-party websites or tools. Access is at your sole risk. nivanoo is not responsible for the content, policies or practices of any third-party site.
  11. USER CONTENT & FEEDBACK
    11.1 You grant nivanoo a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, publish, translate and distribute any User Content you submit for any purpose, commercial or otherwise, without compensation to you.
    11.2 You warrant that your User Content does not infringe any third-party right or contain unlawful material.
  12. DISCLAIMER OF WARRANTIES
    12.1 THE SERVICE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIVANOO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
  13. LIMITATION OF LIABILITY
    13.1 IN NO EVENT SHALL NIVANOO, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
  14. INDEMNIFICATION
    You agree to indemnify and hold harmless nivanoo and its affiliates from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms or your violation of any law or third-party right.
  15. TERMINATION
    15.1 We may suspend or terminate your access to the Service at any time, without notice, if we believe you have violated these Terms.
    15.2 Upon termination, Sections 5, 11-18 and any accrued obligations shall survive.
  16. SEVERABILITY & WAIVER
    If any provision of these Terms is held unlawful or unenforceable, the remaining provisions shall remain in full force. Failure by nivanoo to enforce any right does not constitute a waiver.
  1. GOVERNING LAW & JURISDICTION
    These Terms are governed by the laws of Hong Kong, without regard to its conflict-of-laws rules. You submit to the exclusive jurisdiction of the courts of Hong Kong.
  1. ENTIRE AGREEMENT
    These Terms, together with any policies posted on the Site, constitute the entire agreement between you and nivanoo and supersede all prior or contemporaneous communications.
